6. Non-Disclosure
“Information” shall mean, without limitation, the identity of the Business Opportunity(Hair Icon Society affiliates, distributors, and wholesalers), Hair Icon University, Wealth Icon University, all intellectual property, strategic information, financial statements or projections, business plans, prototypes, drawings, data, trade secrets, business records, customer lists, supplier agreements, information relating to the design of the distributor website, license agreements, marketing plans, employee lists, policies and procedures, information relating to processes, technologies or theory and any or all other information which may be disclosed by the Disclosing Party to the Recipient in accordance with this Agreement.

7. Recipient is using Disclosing Party’s confidential and proprietary information for the purpose of creating Marketing and Promotion documents, implementing social media promotion, and any other materials for the “business Hair Icon University, Wealth Icon University, “business opportunity(Hair Icon Society affiliates, distributors and wholesalers)” and Hair Goddess Boutique Business Seminars/ Classes and Hair Goddess Boutique.

8. Non-Disclosure of Information.
Recipient acknowledges that it is necessary for the Disclosing Party to furnish certain Information to Recipient, which is non-public, confidential, and/or proprietary in nature to enable the parties to explore the possibility of working together.

1.1 The Recipient acknowledges the competitive value and confidential nature of the Information and the damages that would result to the Disclosing Party if any such Information were disclosed, therefore the Information will be kept confidential and shall not be disclosed by the Recipient in any manner whatsoever, in whole or in part.
Restrictions on Use of Information/Non-Circumvention.
1.2 Recipient shall not use the “Information”, directly or indirectly, for any purpose other than disclosing party’s creation of Marketing and Promotion documents, implementing social media promotion, and any other materials for the “business Hair Icon University, Wealth Icon University”, “business opportunity(Hair Icon Society affiliates, distributors and wholesalers)” and Hair Goddess Boutique Business Seminars/ Classes and Hair Goddess Boutique.
Recipient shall not use any of the Information to perform, manufacture, solicit, distribute, deliver, use or sell products or services embodying any such information, or otherwise compete with, circumvent, or act to the detriment of the Disclosing Party.
Title to and Return of the Information.
1.3 Recipient agrees that no license, expressed or implied, is hereby created or granted to Recipient by Disclosing Party to use any of the Information other than solely for the purpose of creation of Marketing and Promotion documents, implementing social media promotion, and any other materials for the “business Hair Icon University, Wealth Icon University, “business opportunity(Hair Icon Society affiliates, distributors and wholesalers)” and Hair Goddess Boutique Business Seminars/ Classes and Hair Goddess Boutique.
